The first contact is not a compressed pitch. It is a mutual fit check. The buyer should know why the business appeared relevant, what remains unverified, and what a useful next step would look like.
Confirm the process before the meeting
First contact may be with the seller's adviser. In an adviser-led auction, an IOI may be requested before an owner or management meeting. In a bilateral discussion, the parties may validate fit through direct dialogue and proceed to an LOI without a separate IOI.
Ask who controls access, what information is available, and which submission is due next. An IOI is optional across acquisition processes, but a particular process may require it to advance. Build the brief
Keep the brief short enough to use live. It should help the person making contact stay specific and avoid filling unknowns with assumptions.
Why this business
State the operating or market characteristic that connects the business to the buyer's thesis.
What is known
Use source-stated facts with dates and label estimates or gaps instead of smoothing them into certainty.
What to learn
Choose the few questions that determine whether a deeper conversation would be useful for both sides.
Shape the conversation
An owner who understands the process and the buyer's intent is more likely to share useful context. The quality of the first conversation often determines the quality of the next evidence.
